TERMS AND CONDITIONS – PROPERTY MANAGERS

1. Introduction
 These Terms and Conditions ("Terms") govern your use of the iRealEdge mobile application (“App”), which provides an augmented reality (AR) platform for property management companies (“Property Managers”) to showcase and manage information about their commercial real estate properties. By subscribing to and using the App, you agree to be bound by these Terms.

2. Definitions

• "App": The augmented reality commercial real estate platform provided by IndusIAM LLC.
• "Property Manager": A commercial real estate property management company, or its authorized representative, using the App’s subscription services.
• "Content": Any information, images, videos, 3D models, hyperlinks, advertisements, or CRE data provided by you within the App.
• "User Data": Information about individuals (e.g., potential tenants, buyers, assessors, or investors) collected by the App through their account registration and activity.
• "Subscription Fee": The periodic fee charged for access to the App’s services.

3. Acceptance of Terms
 By registering as a Property Manager and using the App, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

4. Eligibility and Account Registration

• You must be an authorized representative of a legally established property management company to register.
• All registration data must be accurate and complete. You are responsible for maintaining the confidentiality of your account credentials.

5. Subscription Services and Payment

• The App is offered on a paid subscription basis. You agree to pay all applicable fees (monthly, quarterly, or annual, as applicable) as per your chosen plan.
• Fees are non-refundable except as expressly provided in these Terms.
• IndusIAM LLC. reserves the right to modify subscription fees upon prior notice.

6. Use of the App and Content Submission

• You are solely responsible for the accuracy, legality, and reliability of the Content you upload or provide.
• You grant IndusIAM LLC. a non-exclusive, royalty-free license to use, modify, display, and distribute your Content within the App and for marketing purposes.
• You agree not to post any content that is unlawful, defamatory, or that infringes any third-party rights.

7. Intellectual Property

• All intellectual property rights in the App and its underlying technology are owned by IndusIAM LLC. or its licensors.
• You retain ownership of your Content but grant IndusIAM LLC. the license described above.

8. Privacy, Data Security, and Third-Party Sharing

• Your use of the App is subject to our Privacy Policy, which explains how we collect, use, and protect both your information and the User Data generated by the individual users.
• You acknowledge that the App collects aggregated data about individual users’ interactions (e.g., views, clicks, demographics) and that IndusIAM LLC. will share such analytics with you as part of your subscription service.
• We employ industry-standard security measures to protect your information but cannot guarantee complete security.
• You agree that IndusIAM LLC. may share non-personally identifiable data with third-party partners for analytics and marketing purposes, subject to the terms of our Privacy Policy.

9. Data Retention and Deletion (Property Manager Side)

• We will retain your Content and account information as long as your account remains active or as necessary to comply with our legal obligations.
• You may request deletion of your account by contacting our support; however, certain data (such as aggregated analytics) may be retained in anonymized form.
• IndusIAM LLC. reserves the right to delete inactive accounts after 6 months of inactivity.

10. Confidentiality

• You agree to treat any non-public information regarding the App’s operation, software, or any individual user data provided through our analytics as confidential.
• You will not disclose, copy, or use any confidential information except as permitted by these Terms or with prior written consent.

11. Disclaimer of Warranties and Limitation of Liability

• The App is provided “as is” and “as available” without any warranties of any kind. IndusIAM LLC. disclaims any express or implied warranties, including fitness for a particular purpose.
• In no event shall IndusIAM LLC. be liable for any indirect, incidental, special, or consequential damages arising out of your use of the App.

12. Indemnification
 You agree to indemnify and hold harmless IndusIAM LLC., its affiliates, and their officers, directors, employees, and agents from any claims, losses, damages, liabilities, including legal fees, arising from your use of the App or your breach of these Terms.

13. Governing Law and Dispute Resolution
 These Terms shall be governed by and construed in accordance with the laws of the state of IL, USA. Any disputes shall be resolved in the courts of Chicago, IL, and you consent to the jurisdiction thereof.

14. Modifications and Termination

• IndusIAM LLC. may modify these Terms at any time by posting revised Terms within the App. Your continued use of the App after such changes constitutes acceptance.
• We reserve the right to suspend or terminate your account for any breach of these Terms without liability.
